TERMS AND CONDITIONS – NEXMENTO GLOBAL TECH PVT LTD

Unless otherwise explicitly agreed in writing, the conditions as set out below apply to each and every transaction for the sale of goods and materials and/or design services by Nexmento Global Tech Pvt Ltd to a purchaser of Goods and/or Services.
These conditions shall apply to all orders placed with Nexmento Global Tech Pvt Ltd by the purchaser. Acceptance by Nexmento Global Tech Pvt Ltd of any order is conditional upon acceptance by the Purchaser of these conditions, which shall override all other terms and conditions inconsistent herewith, whether expressed, implied or otherwise, including terms, conditions or stipulations contained in the Purchaser’s purchase order or other form of writing or otherwise stipulated by the Purchaser and which are at variance with or additional to these conditions. The same shall not be binding upon Nexmento Global Tech Pvt Ltd unless specifically accepted and signed by Nexmento Global Tech Pvt Ltd.

Risk of Loss

Risk of loss due to damage or destruction of Nexmento Global Tech Pvt Ltd products shall be the responsibility of the Purchaser after delivery to the carrier for shipment. Nexmento Global Tech Pvt Ltd will select the shipper unless Purchaser requests a reasonable alternative. All orders are subject to acceptance by Nexmento Global Tech Pvt Ltd.

Intellectual Property

Purchaser shall not, at any time, directly or indirectly, use any intellectual property of Nexmento Global Tech Pvt Ltd, or engage or attempt to engage or assist any other person to use any intellectual property of Nexmento Global Tech Pvt Ltd. Purchaser specifically undertakes and agrees that Purchaser shall not (and shall ensure that its affiliates do not), “reverse engineer”, adapt, or modify the Products, the Spares, or any parts thereof or their components, or make any attempts to do so whether for its own benefit or that of any third party, or assist any third party in doing the same, and hereby expressly waives any rights that it may have under applicable law in this regard.
It is agreed and understood that all right, title, and interest in and to the Trademarks are and shall at all times remain the exclusive property of Nexmento Global Tech Pvt Ltd.

Documentation Data

The system data provided along with our kits is a complimentary service by Nexmento Global Tech Pvt Ltd to our customers. This documentation is provided in our standard editable format for customer convenience. However, Nexmento Global Tech Pvt Ltd is not liable to make any custom changes as per individual customer requirements.

Video Tutorials

System explanation videos provided by Nexmento Global Tech Pvt Ltd are offered as a free service to support our customers’ understanding of the kits. These videos are designed to offer satisfactory guidance. Additional video tutorials requested by customers are not covered under any obligation.

COD (Cash on Delivery) Terms & Conditions

COD order receipts are auto-generated at the time of order placement and sent via email for reference. After placement, Nexmento Global Tech Pvt Ltd verifies COD order details to confirm the authenticity of the order. Nexmento Global Tech Pvt Ltd reserves the right to accept or cancel COD orders based on this verification.

Damage Risk Conditions

Risk of damage to or loss of the goods passes to the Purchaser upon delivery or, if the Purchaser fails to take delivery without good cause, at the time when delivery is tendered.
Title and ownership of the goods remain with Nexmento Global Tech Pvt Ltd until full payment is received for the price and any other dues payable by the Purchaser.

Limitation of Liability

All parts are tested and provided free from defects. If any defect is identified, Nexmento Global Tech Pvt Ltd may, at its discretion, repair or replace the product, provided it is confirmed that the defect is due to material quality or workmanship.
Nexmento Global Tech Pvt Ltd will not be held liable for damage due to improper use, wrong connections, or misuse.
Additionally, Nexmento Global Tech Pvt Ltd will not be liable for:

• (a) any loss of profit, business, contracts, opportunity, goodwill, or other indirect or consequential damages; or
• (b) damage to third-party equipment connected with our products.

Any other liability is strictly limited to the amount paid (Price) for the specific transaction.

General Conditions

These Terms and any documents referred to in them constitute the entire agreement between the parties and override any prior agreements. The Purchaser acknowledges that in entering the agreement, they have not relied on any representation that is not explicitly stated.

If any provision in these Terms is found to be illegal or unenforceable, the remaining provisions shall remain valid and enforceable.

Nothing herein excludes liability for fraud.

No person (legal or natural) who is not a party to this agreement shall have the right to enforce any of its terms.

All suspected cases of fraud will be reported directly to the relevant legal authorities without exception.

Project Kit Support

• Support Timing: 11:00 AM to 7:00 PM IST
• Appointment: Reserve at least 1 day in advance
• Same-day Support: Based on availability of time slots
• Software Kits: Support valid for 2 months from delivery
• Electronics & Mechanical Kits: Support valid for 3 months from delivery
